SaaS Terms

Common baseline applicable to SynapseLink SaaS software and services, current and future.

Purpose

These terms form the common baseline applicable to all SaaS software and services published by SynapseLink. They are generic and reusable for all SynapseLink products, current and future. The precise characteristics of each product are defined by its commercial offer and, where applicable, by a specific contract.

Licence — right of use

The customer acquires a personal, non-exclusive and non-transferable right to use the software for the duration of its subscription. It acquires no ownership right over the software, its source code or its components.

Subscription

Access to the service is provided as a subscription. Depending on the product and offer, the subscription may be:

  • monthly or annual;
  • billed per user, per establishment, per organisation;
  • modulated per feature or per consumption.

The exact characteristics (scope, quotas, pricing) are defined by the commercial offer of the subscribed product.

Renewal

The subscription may be renewed manually or automatically where the offer expressly provides for it. Renewal and notice terms are specified in the offer or contract.

Price and billing

Financial conditions are governed by the applicable offer and by the Terms of Sale, in particular regarding price, billing, payment and late payment.

Suspension

SynapseLink may suspend access to the service, in particular in the event of:

  • non-payment;
  • fraud;
  • attack or threat to security;
  • serious breach of the applicable conditions.

Customer data

The customer's data remains the property of the customer. SynapseLink processes it on behalf of the customer as part of providing the service.

Depending on the product and contract, mechanisms are provided for export, return, deletion and backup of data, as well as their handling at end of contract.

Reversibility

At the end of the contract, a reasonable period is provided to allow the customer to retrieve its data, according to the terms defined by the product and contract. The exact duration is set by the applicable commercial conditions.

Availability and service levels

SynapseLink strives to ensure good availability of the service, without guaranteeing uninterrupted availability. No quantified service level (SLA) is guaranteed by default. Any availability commitments are defined in the customer's offer or contract.

Security

SynapseLink implements appropriate technical and organisational measures to protect the service and the hosted data. The customer is responsible for managing its user accounts and the authorisations it grants.

Liability

The service is provided under a best-efforts obligation. The applicable limitations of liability are those set out in the Terms of Sale and the specific conditions.

Termination

Termination conditions and their effects (cessation of access, reversibility, deletion of data) are specified by the offer and contract.

Contractual precedence

In the event of contradiction, the specific contract and the product's commercial offer prevail over these terms.

Governing law

These terms are governed by Guinean law. Failing amicable agreement, any dispute falls within the jurisdiction of the competent courts of Conakry (Republic of Guinea).
